1. Agreement to Terms

Welcome to AdLoft. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and STACKTRACKER LTD (“STACKTRACKER LTD,” “we,” “us,” or “our”), governing your access to and use of the AdLoft platform, the website located at https://adloft.ai, and all related services, applications, tools, and features (collectively, the “Service”). AdLoft is owned and operated by STACKTRACKER LTD.

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

AdLoft is a software-as-a-service (SaaS) platform that enables users to:

• Connect Meta (Facebook and Instagram) advertising accounts
• Create, manage, review, and launch advertising campaigns
• Generate ad creative, ad sets, and campaigns using AI
• Manage audience targeting and campaign configurations
• Analyze advertising performance and insights

The Service integrates with third-party platforms including Meta Platforms, Inc. (“Meta”) via the Meta Marketing API. Your use of third-party services is governed by their respective terms and policies.

3. Eligibility

To use the Service, you must:

• Be at least 18 years old or the age of legal majority in your jurisdiction
• Have legal authority to enter into binding contracts
• Not be prohibited from using the Service under applicable law
• Provide accurate and complete account information
• Comply with all applicable laws and third-party platform policies

4. Account Registration and Security

You are responsible for safeguarding your account credentials and for all activity under your account. STACKTRACKER LTD is not liable for losses resulting from unauthorized access due to your failure to protect credentials.

For team accounts, you are responsible for all actions taken by team members and managing permissions appropriately.

5. Plans, Billing, Add-Ons, and AI Credits

5.1 Subscription Plans

AdLoft offers subscription plans with varying features, limits, and AI credit allocations. Plan details are displayed in the Service and summarized in Exhibit A.

Certain features are plan-dependent, including but not limited to:

• Winners Hub and performance analytics
• AI Insights and AI Campaign Builder
• Meta data sync frequency
• Included team members and ad account slots
• Priority support (Ultra)

5.2 Free Trial

New subscriptions may include a free trial period (currently 7 days) as displayed at checkout. Trial terms, eligibility, and conversion to paid billing are shown in the Service. If you do not cancel before the trial ends, your payment method may be charged per your selected plan.

5.3 Monthly and Annual Billing

You may choose:

• Monthly Billing: billed month-to-month
• Annual Billing: billed annually and may include discounted pricing as displayed in the Service

Billing settings may be managed within the Service.

5.4 Payment Authorization

Payments are processed through Stripe, Inc. By subscribing, you authorize STACKTRACKER LTD and Stripe to charge your payment method for subscription fees, add-ons, on-demand usage, and applicable taxes.

5.5 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. Cancellation takes effect at the end of the current billing period.

5.6 Add-Ons

Plans include a set number of ad accounts and team members. Additional add-ons may be purchased:

• Extra Ad Accounts: $49 per month per account
• Extra Team Members: $20 per month per user

Add-ons follow the same billing frequency as your subscription.

5.7 Proration and Downgrades

• Upgrades are prorated for the remainder of the billing cycle
• Downgrades take effect at the end of the current billing period

5.8 Launches and Imports

Paid plans include campaign drafting, Meta review workflows, and launch capabilities as displayed in-app. Launch and import limits, if any, are shown in your plan details within the Service.

5.9 AI Credits

What AI Credits Are

AI credits are the usage currency for AI-powered features (such as AI Campaign Builder). Credits are consumed when you run billable AI workflows. Manually created campaigns that do not invoke AI workflows do not consume AI credits.

Credit Usage

Credit consumption depends on the workflow, model usage, and scope of the request. The Service may show an estimate before you run a workflow and debit actual usage afterward, subject to any caps displayed at run time.

Included Credits

Each subscription includes a defined number of AI credits per billing period as outlined in Exhibit A or displayed in-app.

Credit Reset and Rollover

• Included credits reset at the start of each billing period
• Included credits do not roll over unless otherwise stated in the Service
• Granted plan credits may expire after a period displayed in billing settings (currently 60 days from grant)
• Monthly plans reset monthly; annual plans follow the billing period shown in-app
• Upgrading your plan may reset included credits to the new plan allocation immediately

5.10 Credit Usage Priority

AI credits are consumed in the following order:

1. Included plan credits
2. Bonus credits
3. On-demand credits (if enabled)

5.11 On-Demand AI Credits

If included and bonus credits are exhausted, you may continue using AI features via on-demand credits when that option is enabled in your organization.

• On-demand credits are billed at the rate displayed in Billing settings (currently $0.02 per credit)
• Billed only for usage beyond included and bonus credits
• Charges appear on your next subscription invoice
• You may disable on-demand usage in Billing settings. If disabled, AI generation will stop once credits are exhausted

5.12 On-Demand Spending Limits

If available, you may set a spending limit for on-demand usage per billing period. Requests exceeding the limit will be blocked.

5.13 Bonus AI Credits (Referrals)

AdLoft may offer bonus credits through referrals or promotions.

Referral program details (unless otherwise stated):

• 200 bonus credits awarded to you
• 200 bonus credits awarded to the referred user
• Bonus credits do not expire
• Bonus credits are used after included credits and before on-demand billing
• No limit on referrals
• Bonus programs may be modified or discontinued at any time

5.14 Viewing Usage and Credits

You may view your remaining credits, usage history, add-ons, and on-demand charges within the Billing and Subscription section of the Service.

5.15 Enterprise Plans

Enterprise plans may be offered under separate pricing, limits, or custom terms. If you are on an Enterprise plan, a separate written agreement or order form may apply. In the event of a conflict, the enterprise agreement controls.

5.16 Cancellation and Refunds

You may cancel your subscription at any time through Billing settings. Access continues until the end of the current billing period.

Except where required by law:

• Fees are non-refundable
• No refunds or credits are provided for partial billing periods
• You remain responsible for all charges incurred prior to cancellation, including on-demand usage and add-ons

5.17 Failed Payments

If payment fails, we may retry processing and suspend access until payment is resolved. Prolonged non-payment may result in termination.

5.18 Taxes

You are responsible for all applicable taxes, duties, and levies, excluding taxes based on STACKTRACKER LTD's net income.

5.19 No Hidden Fees

There are no hidden fees. You are charged only for your subscription, add-ons, and any on-demand usage you enable.

5.20 Ad Spend Authorization and Risk

You acknowledge that STACKTRACKER LTD may launch, modify, pause, or generate campaigns at your direction, including via AI and bulk operations. You are solely responsible for all advertising spend incurred. STACKTRACKER LTD is not responsible for overspend, pacing errors, bid misconfiguration, or campaign duplication.

6. User Conduct and Acceptable Use

You agree not to use the Service for unlawful activity, deceptive advertising, policy circumvention, platform abuse, or intellectual property infringement.

STACKTRACKER LTD does not review, approve, or endorse advertising content.

7. User Content

You retain ownership of your content. You grant STACKTRACKER LTD a limited license to process and display content solely to operate and improve the Service.

8. Intellectual Property Rights

All software, designs, trademarks, and features are owned by STACKTRACKER LTD.

AI-Generated Content

AI outputs may be inaccurate, incomplete, biased, or non-deterministic. Outputs are not guaranteed to be unique and must be reviewed before use.

9. Third-Party Integrations

Meta may suspend or disable ad accounts at its discretion. STACKTRACKER LTD is not responsible for ad rejections, account bans, enforcement actions, or spend loss.

10. Data and Privacy

Your use of the Service is governed by our Privacy Policy. Aggregated and anonymized data may be used for analytics and service improvement.

11. Disclaimers and Limitations of Liability

The Service is provided “as is” without warranties. STACKTRACKER LTD does not guarantee advertising results or ROI.

STACKTRACKER LTD's total liability will not exceed the greater of fees paid in the prior 12 months or $100.

12. Indemnification

You agree to indemnify and hold harmless STACKTRACKER LTD from claims arising from your ads, content, policy violations, or legal noncompliance.

13. Term and Termination

We may suspend or terminate access for violations, non-payment, security risk, or legal requirements.

14. Dispute Resolution

Disputes are governed by Pennsylvania law and resolved through binding arbitration. Class actions are waived.

15. No Agency or Fiduciary Relationship

STACKTRACKER LTD provides software tools only and does not act as your advertising agent, partner, or fiduciary.

16. General Provisions

We may amend these Terms with notice. Continued use constitutes acceptance. If any provision is unenforceable, the remainder remains in effect.

17. Export Compliance

You agree to comply with U.S. export laws and may not use the Service in sanctioned regions.
